
End User License Agreement

This agreement governs your installation and use of the PTO Master desktop application. Please read it carefully before using the Software.
1. Agreement to Terms
This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between your law enforcement agency (“Agency,” “you,” or “your”) and PTO Master (“Licensor,” “we,” “our,” or “us”) governing your installation and use of the PTO Master desktop software application and any associated services (collectively, “the Software”).
By clicking “I Agree,” downloading, installing, copying, or otherwise using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms on behalf of your Agency. If you do not agree to these terms, do not install or use the Software.
The individual accepting this Agreement represents and warrants that they have authority to bind the Agency to these terms.
2. License Grant
Subject to your compliance with this Agreement and payment of applicable license fees, PTO Master grants your Agency a limited, non-exclusive, non-transferable, revocable license to:
- •Install and use the Software on the number of devices covered by your purchased license
- •Use the Software solely for managing your agency's Field Training Officer (FTO/PTO) program
- •Make one archival copy of the Software for backup purposes
This license does not include any right to sublicense, resell, distribute, or transfer the Software to any third party.
3. License Types and Device Limits
PTO Master licenses are issued on an annual subscription basis:
Base License
Includes activation on up to 3 individual workstations. Each activated device consumes one license seat. The base license covers one agency location.
Additional Device Keys
Additional per-device license keys may be purchased separately to expand the number of authorized workstations beyond the base allotment.
Trial License
A 30-day trial license is automatically granted upon first launch with full functionality. The trial period commences on the date of first launch and cannot be reset. Upon expiry, the Software automatically enters read-only mode.
Each license key may only be activated on a single device. Activated license keys are bound to device hardware identifiers and may not be transferred to a different device without contacting support.
4. License Restrictions
You may not, and you may not permit others to:
- •Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- •Modify, adapt, translate, or create derivative works based on the Software
- •Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
- •Sublicense, sell, resell, transfer, assign, or otherwise dispose of the Software or any license key
- •Use the Software to provide services to third-party agencies under a single license
- •Share, publish, or distribute license keys or activation codes
- •Circumvent, disable, or interfere with license validation, activation, or security features
- •Use the Software for any purpose other than managing your agency's PTO/FTO training program
- •Use the Software in violation of any applicable law, regulation, or agency policy
5. Installation and System Requirements
The Software is designed for installation on Windows workstations within your agency's network environment. You are responsible for ensuring that the hardware and operating system on which you install the Software meet the minimum requirements specified in the product documentation.
The Software stores all agency data locally on the device or network location you designate. You are solely responsible for the security, backup, and integrity of that storage environment. PTO Master does not provide automated backup services and has no ability to recover locally stored data.
6. Multi-Workstation Sync
The Software includes optional multi-workstation synchronization features that allow authorized devices within your agency to share training data. Two sync methods are available:
Shared Network Folder Sync
Data is exchanged between workstations via a shared network drive or UNC path on your agency's local area network. All data remains within your local network infrastructure. PTO Master does not access or transmit this data.
Cloud Relay Sync
Data is end-to-end encrypted on your device using your agency-generated sync key before transmission through the PTO Master relay servers at sync.ptomaster.com. PTO Master relay servers act as a pass-through only and cannot decrypt, read, or access your agency's data. Your agency is solely responsible for safeguarding the sync encryption key. If the sync key is lost, encrypted data stored on relay servers cannot be recovered.
Sync features are provided “as is” and are subject to network availability. PTO Master does not guarantee uptime of the relay service, and temporary unavailability does not constitute a breach of this Agreement. All locally created data is preserved regardless of sync service availability.
7. Updates and Maintenance
During an active license period, PTO Master may provide software updates, bug fixes, and feature enhancements. Updates are delivered automatically within the application and may be installed at your discretion.
We reserve the right to discontinue support for specific versions of the Software or operating systems with reasonable notice. We are not obligated to provide updates that add new features beyond what was available at the time of your license purchase.
8. Data Ownership and Agency Responsibilities
All training records, recruit information, evaluation documents, journal entries, and agency materials created or stored using PTO Master belong exclusively to your Agency. PTO Master makes no claim of ownership over any content you create or process using the Software.
As the Agency, you are solely responsible for:
- •The accuracy, completeness, and legality of all training records and documentation
- •Compliance with applicable records retention laws, public records requirements, and law enforcement regulations in your jurisdiction
- •Securing and backing up your agency's locally stored data
- •Managing user accounts, passwords, and access permissions within the Software
- •Ensuring that only authorized personnel access the Software and agency records
- •Compliance with any applicable collective bargaining agreements regarding electronic records
PTO Master is a record-keeping tool. It does not constitute legal advice and should not be used as a substitute for legal counsel regarding employment, training liability, or regulatory compliance matters.
9. Privacy and Data Collection
PTO Master does not collect, access, or transmit any training records, recruit data, or operational information stored within the Software. Our data collection is limited to licensing, activation, and support functions as described in our Privacy Policy, which is incorporated into this Agreement by reference.
When using the Cloud Relay Sync feature, all data is encrypted by your device prior to transmission. Relay servers process only encrypted binary payloads and cannot access the underlying content.
10. Fees, Payment, and Renewal
Annual license fees are due at the time of purchase and upon each renewal. All fees are non-refundable except as required by applicable law or as expressly stated at the time of sale.
Upon license expiration:
- •The Software enters read-only mode — all data remains accessible but new records cannot be created
- •Renewal reminders are sent at 30 days and 7 days prior to expiration
- •Renewal restores full functionality; no data is lost during an expiration period
- •Renewal pricing is subject to change with 30 days' prior notice
11. Intellectual Property
The Software, including its source code, design, user interface, documentation, and all related intellectual property, is owned by PTO Master and is protected by United States copyright law, trade secret law, and international treaty provisions. This Agreement grants you a license to use the Software — it does not transfer any ownership or intellectual property rights to you. All rights not expressly granted herein are reserved by PTO Master.
12. Disclaimer of Warranties
The Software is provided “as is” and “as available” without warranty of any kind. To the maximum extent permitted by applicable law, PTO Master expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
PTO Master does not warrant that the Software will be error-free, uninterrupted, secure, or free of harmful components, or that any defects will be corrected. The Software is not designed for use in high-risk activities where failure could result in personal injury, death, or significant property damage.
No oral or written advice given by PTO Master or its representatives shall create a warranty.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall PTO Master, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to loss of data, loss of revenue, loss of business opportunities, business interruption, or loss of goodwill, arising out of or in connection with this Agreement or your use of or inability to use the Software, even if PTO Master has been advised of the possibility of such damages.
In no event shall PTO Master's total cumulative liability arising out of or related to this Agreement exceed the total license fees paid by your Agency to PTO Master in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so the above limitations may not apply to you in their entirety. In such cases, liability is limited to the fullest extent permitted by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless PTO Master and its officers, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this Agreement; (c) your violation of any applicable law, regulation, or the rights of any third party; or (d) any data you store or process using the Software.
15. Termination
This Agreement is effective upon your first installation or use of the Software and continues until terminated.
PTO Master may terminate this Agreement immediately and without notice if you materially breach any term of this Agreement. You may terminate this Agreement at any time by ceasing all use of the Software and destroying all copies in your possession or control.
Upon termination:
- •Your license to use the Software immediately ceases
- •You must uninstall all copies of the Software from Agency devices
- •Your locally stored agency data remains your property and is not affected by termination
- •Termination does not entitle you to a refund of any paid license fees
- •Sections 8, 9, 11, 12, 13, 14, 16, and 17 survive termination
16. Export Compliance
The Software is subject to United States export laws and regulations. You agree not to export or re-export the Software to any country, individual, or entity to which such export is restricted or prohibited by U.S. law. By using the Software, you represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo.
17. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict-of-law provisions. You agree that any dispute arising under this Agreement shall be resolved in a court of competent jurisdiction in the United States.
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution of any dispute through written notice and a 30-day negotiation period.
18. Modifications to This Agreement
PTO Master reserves the right to modify this EULA at any time. Material changes will be communicated to active license holders via email with at least 30 days' notice before the revised terms take effect. Your continued use of the Software after the effective date of any modification constitutes acceptance of the revised Agreement. If you do not agree to the revised terms, you must cease use of the Software before the effective date.
19. Entire Agreement
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between your Agency and PTO Master with respect to the Software and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce any provision of this Agreement shall not constitute a waiver of future enforcement.
